Signing an NDA doesn't make a secret safe — cross-border enforceability depends on the terms and governing law.
A typical scenario: a company signs an NDA with an overseas partner, suspects a leak, then finds the NDA has limited enforceability in the partner's jurisdiction, making evidence and recovery hard.
Cross-border confidentiality depends on whether reasonable measures were taken, whether terms fit local mandatory rules, and whether the dispute mechanism is enforceable.
The review's point is to combine the NDA with a trade-secret program, design terms for the counterparty's jurisdiction, and keep provable confidentiality and access records for key information.
